LEBANON (AP) - Cracker Barrel says that preliminary results show its shareholders have overwhelmingly rejected two proposals put forth by an activist stockholder.

The first proposal from Sardar Biglari's Biglari Capital Corp. and other affiliates of Biglari Holdings Inc. called for Cracker Barrel's board to immediately pursue potential extraordinary transactions, including a sale of the company. The second proposal sought for the restaurant operator's board to take steps to amend the Tennessee Business Corporation Act so that Biglari Capital could engage in an extraordinary transaction with the company.

LEBANON (AP) - Cracker Barrel says it will hold a special meeting in April so that it can avoid having one of its activist shareholders seek a special meeting.

The restaurant operator said Tuesday that Sardar Biglari, who controls the vote of 19.9 percent of its stock, was planning to call a special meeting to vote on a proposal that Cracker Barrel Old Country Store Inc. NASHVILLE (AP) — A study has found that women remain underrepresented in corporate leadership posts at publicly traded companies in Tennessee.

The report found that more than 91 percent of the 617 corporate directors were men at a time when women made up 48 percent of the Tennessee work force. Of the 72 public corporations, 46 percent had no women directors.
